These Terms of Service (the "Terms") are an agreement between you and Foremore Distribution LLC, a California limited liability company doing business as Sutter ("Sutter," "we," "us," or "our"). These Terms govern your access to and use of our store and website at trysutter.com, including all related information, content, features, tools, products and services (the "Services").

Please read these Terms carefully. By accessing or using the Services, or by placing an order, you agree to be bound by these Terms. If you do not agree, do not use the Services.

Our Privacy Policy, Refund Policy, and Shipping Policy are incorporated into these Terms by reference. If there is a conflict between these Terms and our Privacy Policy with respect to the collection, processing, or disclosure of personal information, the Privacy Policy controls.

Eligibility

You must be at least 18 years of age, or the age of majority in your jurisdiction, to use the Services or place an order. By using the Services you represent that you meet this requirement and that you have the legal capacity to enter into these Terms.

The Services are intended for customers in the United States. We do not represent that the Services or the products offered through them are appropriate or available in other locations.

Your Account

You may be able to create an account to use certain features of the Services. You are responsible for keeping your account credentials confidential and for all activity that occurs under your account. You agree to provide accurate, current and complete information and to keep it updated. We may suspend or terminate an account at our discretion, including where we believe information provided is untrue, inaccurate, or incomplete.

Products and Product Information

The products offered through the Services are personal care and cosmetic goods. We make reasonable efforts to display product colors, images, and descriptions accurately, but we do not warrant that product descriptions, images, or other content are accurate, complete, reliable, current, or error free. Your device's display may not accurately reflect actual product appearance.

We reserve the right to limit quantities, discontinue any product, and change product descriptions, formulations, or packaging at any time without notice.

Cosmetic Products Disclaimer

Our products are cosmetics intended for external use only. They are not drugs and are not intended to diagnose, treat, cure, or prevent any disease or medical condition. Statements about our products have not been evaluated by the Food and Drug Administration.

Always review the ingredient list before use and discontinue use if irritation occurs. If you have a known skin condition, allergy, or sensitivity, or if you are pregnant or nursing, consult a qualified healthcare professional before use. Nothing on the Services is medical advice.

Pricing and Payment

All prices are listed in United States dollars and are subject to change without notice. Prices do not include applicable taxes, duties, or shipping charges unless expressly stated. Taxes and shipping are calculated at checkout.

By submitting an order you represent that you are authorized to use the payment method provided and you authorize us, or our payment processor, to charge the total order amount to that payment method. Payment must be received before we ship an order.

We reserve the right to refuse or cancel any order, including where we suspect fraud, an unauthorized transaction, a pricing or description error, or a violation of these Terms. If we cancel an order after your payment method has been charged, we will issue a refund to the original payment method.

Subscriptions and Recurring Billing

Where we offer a subscription or other recurring purchase option, the following applies in addition to the rest of these Terms.

  • Enrollment. When you enroll in a subscription, you authorize us to charge your payment method on a recurring basis at the price and interval disclosed at checkout, until you cancel.
  • Automatic renewal. Subscriptions renew automatically at the end of each billing period. The billing amount, the billing interval, and the cancellation method are disclosed to you before you enroll and are confirmed in your enrollment email.
  • Price changes. We will give you advance notice by email before any change to your subscription price takes effect, and you may cancel before the change applies.
  • Cancellation. You may cancel a subscription at any time through your account, through the link in your subscription emails, or by emailing help@trysutter.com. Cancellation takes effect at the end of the current billing period. Orders already processed before cancellation will be fulfilled and are not refundable except as provided in our Refund Policy.
  • Failed payments. If a recurring charge is declined, we may retry the charge and may suspend or cancel the subscription.

Shipping and Delivery

Shipping timeframes shown on the Services are estimates and are not guaranteed. Risk of loss passes to you upon delivery to the carrier unless applicable law provides otherwise. We are not responsible for carrier delays, incorrect addresses supplied by you, or packages marked delivered by the carrier. See our Shipping Policy for details.

Returns, Refunds, and Cancellations

Returns and refunds are governed by our Refund Policy. If you believe there is a problem with your order, contact us at help@trysutter.com before initiating a dispute with your bank or card issuer. We are able to resolve most issues directly and far more quickly.

Email and SMS Marketing

By providing your email address or mobile number, you consent to receive transactional messages about your orders. If you opt in to marketing messages, you consent to receive recurring promotional messages from us. Message and data rates may apply. You may unsubscribe from email at any time using the link in any marketing email, and you may stop text messages at any time by replying STOP. Consent to marketing messages is not a condition of any purchase.

Acceptable Use

You agree not to use the Services to do any of the following:

  • Violate any applicable law or regulation, or infringe the rights of any third party;
  • Submit false, misleading, or fraudulent information, including in an order or a payment;
  • Resell our products without our prior written authorization;
  • Interfere with, disrupt, probe, or attempt to gain unauthorized access to the Services or any related systems or networks;
  • Use any robot, spider, scraper, or other automated means to access the Services other than a search engine operating in the ordinary course;
  • Upload or transmit viruses, malware, or any other malicious code;
  • Harass, abuse, defame, or threaten any person, including our staff.

Intellectual Property

The Services and all content on them, including text, graphics, logos, images, product photography, video, and the arrangement of that content, are owned by us or our licensors and are protected by intellectual property laws. The Sutter name and logo are our trademarks. We grant you a limited, revocable, non exclusive, non transferable licence to access and use the Services for your own personal, non commercial purposes. No other right or licence is granted.

Reviews and Other User Content

If you submit a review, comment, photograph, or other content to us or through the Services, you grant us a non exclusive, worldwide, royalty free, perpetual, irrevocable, sublicensable licence to use, reproduce, modify, adapt, publish, and display that content in any medium, including in marketing. You represent that the content is your own, that it is accurate, that it reflects your genuine experience, and that it does not violate any law or the rights of any third party. We may edit, refuse to post, or remove any submission at our discretion.

Third Party Links and Services

The Services are hosted by Shopify and may link to or incorporate services operated by third parties. We are not responsible for the content, policies, or practices of any third party. Your dealings with third parties are solely between you and them.

Disclaimer of Warranties

Except where prohibited by law, the Services and all products are provided on an "as is" and "as available" basis, without warranty of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, and non infringement. We do not warrant that the Services will be uninterrupted, secure, or error free, or that any defect will be corrected. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Foremore Distribution LLC, its members, officers, employees, agents, or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Services or any product, whether based in contract, tort, strict liability, or any other theory, even if advised of the possibility of such damages.

To the maximum extent permitted by applicable law, our total aggregate liability arising out of or relating to the Services or any product shall not exceed the greater of the amount you paid to us for the product giving rise to the claim, or one hundred United States dollars (USD $100).

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless Foremore Distribution LLC and its members, officers, employees, and agents from and against any claim, demand, loss, liability, damage, cost, or expense, including reasonable legal fees, arising out of or relating to your breach of these Terms, your misuse of the Services, or your violation of any law or the rights of any third party.

Governing Law and Venue

These Terms and any dispute arising out of or relating to them or to the Services are governed by the laws of the State of California, without regard to its conflict of laws rules. You agree that any action or proceeding shall be brought exclusively in the state or federal courts located in Riverside County, California, and you consent to the personal jurisdiction of those courts. Nothing in this section limits any right you may have to bring a claim in small claims court.

Severability and Waiver

If any provision of these Terms is found unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect. Our failure to enforce any provision is not a waiver of that provision or of any other.

Entire Agreement

These Terms, together with the policies incorporated by reference, constitute the entire agreement between you and us regarding the Services and supersede any prior agreements or understandings on the subject.

Changes to These Terms

We may update these Terms from time to time to reflect changes to our practices or for other operational, legal, or regulatory reasons. We will post the revised Terms on this website and update the "Last updated" date above. Your continued use of the Services after the revised Terms take effect constitutes acceptance of them.
